Mindkeeper Terms & Conditions (Terms of Use)

    These Terms & Conditions ("Terms") govern your access to and use of the Mindkeeper mobile application, website(s), and related services (collectively, the "Services"). By creating an account, purchasing any plan, or using the Services, you agree to be bound by these Terms.

    If you do not agree, do not use the Services.

    1) Who we are / Contact

    "Mindkeeper," "we," "us," or "our" refers to the operator of the Services with the following contact details:

    2) Important Safety Notice — Not for emergencies

    Mindkeeper is not an emergency service and cannot provide crisis support.

    If you believe you may be in immediate danger or at risk of harming yourself or others:

    • Stop using Mindkeeper immediately.
    • Call your local emergency number (e.g., 112/999/911 depending on your country).
    • If you are in the United States, you can call or text 988 (Suicide & Crisis Lifeline).
    • Seek help from a licensed medical or mental health professional.

    Do not use Mindkeeper for severe mental illness, active suicidal ideation, self-harm intent, psychosis/mania, or situations requiring urgent or specialist care.

    3) What Mindkeeper is (and is not)

    3.1 Wellbeing support only

    Mindkeeper provides AI-enabled conversations and coaching-style tools intended to support general mental wellbeing and day-to-day challenges.

    3.2 Not medical advice / not therapy

    Mindkeeper does not provide medical advice, diagnosis, treatment, psychotherapy, or clinical services, and is not a substitute for a licensed professional.

    3.3 No guarantee of outcomes

    We do not guarantee any specific result, improvement, or outcome from using the Services.

    3.4 AI limitations and safety

    You acknowledge and agree that:

    • Responses are generated by automated systems and may be incorrect, incomplete, inappropriate, or harmful.
    • The Services are not designed to detect emergencies or ensure your safety.
    • You are solely responsible for your decisions, actions, and wellbeing, including whether to seek professional help.

    4) Eligibility and account requirements

    4.1 Minimum age

    You must be at least 16 years old to use the Services. If you are 16–17, you may use the Services only with the consent and supervision of a parent/legal guardian who agrees to these Terms on your behalf.

    If the laws of your country require a higher minimum age for digital consent or mental wellbeing services, you must meet that higher age.

    4.2 Account registration

    To access certain features, you must create an account and provide accurate information. You agree to:

    • Maintain accurate account information,
    • Keep your login credentials confidential, and
    • Notify us promptly of suspected unauthorized access.

    4.3 No account sharing

    Accounts are personal. You may not share your account or allow others to use it.

    5) Service features and "AI Talk Time"

    5.1 AI Session Time

    Some features consume "AI Sessions Time," which represents access time to AI conversation features.

    5.2 How Session Time is measured

    Unless stated otherwise in-app, Session Time are measured based on active usage of AI conversation features as recorded by our systems (for example, time spent in an active conversation session). We may apply reasonable technical rules such as rounding to the nearest minute.

    5.3 Fair use and abuse

    We may limit, throttle, or suspend usage that is abusive, fraudulent, or materially harms the Services, other users, or our infrastructure.

    6) Plans, pricing, purchases

    Mindkeeper offers both subscriptions and pay-as-you-go purchases. Prices shown include only what is displayed at checkout; taxes may apply depending on your location and payment method.

    6.1 Pay-as-you-go

    • You may purchase additional AI Session Time for DBT ("Pay-As-You-Go Time").
    • Pay-As-You-Go Time may be offered as time credits that you can consume over time.
    • Expiration: Unless prohibited by applicable law, Pay-As-You-Go Time expires 12 months after purchase (or earlier if disclosed at purchase). Expired credits are not refundable.

    6.2 Subscription plans

    Subscriptions renew monthly unless cancelled. Current standard plans are:

    • Starter: TBD / month — includes X hours Session Time per month
    • Plus: TBD / month — includes X hours Session Time per month
    • Ultimate: TBD / month — includes X hours Session Time per month

    6.3 Included time: rollover / expiry

    Unless stated otherwise in-app:

    • Included monthly Session Time only rolls over one time to the next billing cycle.
    • Unused included time expires at the end of the following monthly subscription period.

    6.4 Free trials / promos (if offered)

    If we offer a free trial or promotional access, the terms will be shown at sign-up. Trials may convert to paid subscriptions unless cancelled before the trial ends (if indicated).

    7) Billing, renewals, and cancellation

    7.1 Payment processing

    Payments may be processed via:

    • Apple App Store / Google Play (if you subscribe or purchase in-app), and/or
    • Our third-party payment providers (if purchasing on our website or other channels).

    Your purchases are also subject to the terms of the relevant app store or payment provider.

    7.2 Auto-renewal

    Subscriptions renew automatically unless cancelled before the renewal date. The renewal price will be the price presented at purchase unless we've given proper notice of at least 30 days of a price change.

    7.3 How to cancel

    • App Store / Google Play purchases: You must cancel through your Apple/Google subscription settings.
    • Web purchases (if available): You can cancel in your account settings or by contacting support as described in-app.

    Cancellation stops future renewals; it does not automatically refund fees already paid, except where required by law or expressly stated in these Terms. Canceling subscriptions doesn't cancel or refund any Pay-As-You-Go Time purchased.

    7.4 Price changes

    We may change pricing or plan structures. If a change affects an existing subscription, we will provide notice within the app and/or by email, with at least a 30 days notice, as required by applicable law, and changes will apply from the next billing cycle (unless stated otherwise and permitted).

    8) Refunds and statutory consumer rights

    8.1 General policy

    Refunds are not guaranteed and are handled as follows:

    • App Store / Google Play: refunds are governed by Apple/Google policies and processes.
    • Direct purchases (if any): we may consider refund requests case-by-case, and we will always honor mandatory legal rights.

    8.2 EU/UK/EEA "right of withdrawal" (where applicable)

    If you are a consumer in the EU/EEA/UK and you purchase Services directly from us (not via app stores), you may have a statutory right to withdraw within 14 days of purchase.

    However: For digital content/services, you may be asked at checkout to expressly consent to immediate performance and acknowledge that you may lose your withdrawal right once the service begins (to the extent permitted by law). If withdrawal applies, we may deduct a proportionate amount for the Services already provided/used. The withdrawal right does not apply to renewals of active subscription.

    8.3 No refunds for misuse / abuse

    We may deny refunds where we reasonably suspect fraud, abuse, policy violations, or chargeback misuse.

    9) Privacy, sensitive data, and confidentiality

    9.1 Privacy Policy

    Our Privacy Policy explains how we collect, use, share, and protect personal data. By using the Services, you agree that we may process your data according to our Privacy Policy.

    9.2 Sensitive information

    Conversations may include sensitive wellbeing/health-related information. You agree:

    • You will not submit information you do not want processed for providing the Services,
    • You understand that no AI system is perfectly secure, and
    • You are responsible for protecting your device and account access, and
    • You don't interpret the Services as medical advice or use them instead of a health professional.

    9.3 De-identification and service improvement

    Where permitted by law and described in our Privacy Policy, we may use de-identified/aggregated data to improve the Services (including AI quality and safety).

    9.4 Data deletion

    You may request account deletion through in-app tools (if available) or by contacting us. Some data may be retained where legally required or for legitimate business purposes (e.g., fraud prevention), consistent with the Privacy Policy.

    10) User content and permissions

    10.1 Your content

    You retain ownership of the content you submit (text, prompts, uploads, etc.) ("User Content").

    10.2 License to operate the Services

    You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and display your User Content solely to: provide and operate the Services, maintain your account history, and improve functionality and safety (including via de-identified analysis where permitted).

    Mindkeeper will not have direct access to the content you submit (text, prompts, uploads, etc.). Most User Content is highly end-to-end encrypted. You agree that Mindkeeper has access to Session summaries to optimize the System, AI and app-safety, and basic User Information (name, country, birthday, etc.).

    10.3 Responsibility for your content

    You represent that you have the rights to submit your User Content and that it does not violate laws or third-party rights.

    10.4 No access to real conversation transcripts

    Mindkeeper is designed so that human staff do not view or access your full chat transcripts or journals. Our goal is to provide support while collecting as little personal data as possible, respecting your privacy.

    10.5 What we do store: summaries + limited identifying profile data

    To provide your in-app history and generate insights/reports, we store:

    • Conversation summaries (the same summary you can see in your account), and
    • Age (or age range), gender (if you provide them), country (if you provide them), phone number (if you provide them), email address (if you provide them), full name (if you provide them), card payment details (if you provide them), answer to registration questions (if you provide them)

    We seek to exclude direct identifiers from summaries wherever possible.

    Important: If you type names, contact details, or other identifying information into a chat, it could appear in a summary depending on how the summary is generated. Please avoid sharing identifying details in conversations.

    10.6 Information collected automatically (device/usage data)

    Like most apps, we may collect basic technical data necessary to operate securely and reliably, such as: device type, operating system version, app version, crash logs, performance logs, approximate region/country (derived from IP), language, time zone, feature interaction data (e.g., which screens are used, session counts).

    10.7 Encryption and access controls

    We use strong encryption and strict access controls to protect accounts and conversations. Our systems are designed so that conversation content is encrypted and not routinely accessible to Mindkeeper personnel, and we do not use human review of chat transcripts as part of ordinary operations.

    11) Acceptable use and prohibited conduct

    You agree not to:

    • Use the Services for emergencies, self-harm planning, or to harm others,
    • Use the Services for illegal activity,
    • Harass, abuse, exploit, or threaten others,
    • Attempt to reverse engineer, scrape, extract model prompts, or defeat security controls,
    • Use automated tools to overload or data-mine the Services,
    • Use the Services to build or train competing systems from our outputs or content (except to the extent prohibited by applicable law),
    • Upload malware or harmful code, or
    • Misrepresent your identity or eligibility.

    We may investigate suspected violations and take action, including suspension/termination.

    12) Third-party services, links, and app stores

    The Services may integrate or link to third-party services (including AI providers, hosting, analytics, payment processors, and app stores). We are not responsible for third-party services and their terms, availability, or content.

    Apple and Google App stores are not parties to these Terms and have no obligations to provide support for Mindkeeper.

    13) Intellectual property

    We own (or license) all rights in the Services, including software, designs, text, branding, logos, and features, excluding User Content.

    You receive a limited, personal, revocable, non-transferable license to use the Services for personal, non-commercial purposes in accordance with these Terms.

    14) Feedback

    If you submit ideas, suggestions, or feedback, you grant us a perpetual, worldwide, royalty-free right to use it without compensation, to the extent permitted by law.

    15) Availability, changes, and discontinuation

    We aim to provide reliable Services but do not guarantee uninterrupted availability.

    We may modify, update, suspend, or discontinue parts of the Services (including features, models, and plans). Where you have an active subscription, we will act reasonably and, where required, provide notice for material changes.

    16) Termination

    16.1 Termination by you

    You can stop using the Services at any time and may delete your account using available options within the app or by contacting us.

    16.2 Termination by us

    We may suspend or terminate your access immediately if we reasonably believe: you violated these Terms, your use creates risk or legal exposure for us or others, required by law, or necessary to protect the integrity/security of the Services.

    17) Disclaimers

    To the maximum extent permitted by law, the Services are provided "AS IS" and "AS AVAILABLE." We disclaim all warranties (express or implied), including fitness for a particular purpose, merchantability, and non-infringement.

    We do not warrant that: AI outputs will be accurate or appropriate, the Services will be uninterrupted or error-free, or any content will meet your expectations or needs.

    18) Limitation of liability

    To the maximum extent permitted by law:

    • We are not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, goodwill, or business opportunities.
    • Our total liability for any claim arising out of or relating to the Services will not exceed the greater of: the amount you paid to Mindkeeper in the 12 months before the event giving rise to the claim, or €100.

    Nothing in these Terms limits liability that cannot be excluded under applicable law (for example, liability for death/personal injury caused by proven negligence where non-excludable).

    19) Indemnity

    You agree to defend, indemnify, and hold Mindkeeper harmless from claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your misuse of the Services, your violation of these Terms, or your infringement of third-party rights through your User Content.

    20) Governing law and dispute resolution

    20.1 Governing law

    These Terms are governed by the laws of Dubai, United Arab Emirates, excluding conflict-of-law principles.

    20.2 Dispute resolution

    We encourage informal resolution first. Please contact legal@getmindkeeper.com with a description of your issue.

    If a dispute cannot be resolved informally, disputes shall be submitted to the competent courts of Dubai, UAE, unless mandatory consumer protection laws in your country grant you the right to bring claims in another forum (in which case those rights remain unaffected).

    21) Miscellaneous

    • Severability: If any provision is unlawful or unenforceable, the remainder stays in effect.
    • No waiver: Failure to enforce a provision is not a waiver.
    • Assignment: You may not assign these Terms without our consent; we may assign them as part of corporate restructuring, sale, or transfer.
    • Entire agreement: These Terms (and documents incorporated by reference, such as the Privacy Policy) form the entire agreement about the Services.
    • Language: If we provide translations, the English version controls to the extent permitted by law.
